1. The Service

Barrakuda Quant is a quantitative research and monitoring platform that combines a proprietary sentiment overlay with a multi-factor model to produce comparable scores across listed equities, together with rules-based strategy outputs. The Service is provided for research and informational purposes only. The Service is not an investment advisory service, a broker-dealer service or a portfolio-management service.

2. Eligibility

The Service is intended for adult users who are professional or sophisticated investors, or who otherwise have the knowledge and experience to make their own investment decisions. By using the Service you represent that you are at least 18 years old and that your use of the Service complies with the laws of your jurisdiction. Access in any jurisdiction where the Service or any of its contents would be contrary to law is prohibited.

3. Account and access

Access to the gated platform is granted on request and at our discretion. If you are granted access, you are responsible for:

• keeping your credentials confidential and secure;
• all activity under your account;
• notifying us promptly of any unauthorised use or suspected breach.

We may decline, suspend or terminate access at our discretion, including where we reasonably believe that these Terms have been breached or that continued access poses a security or legal risk.

You may use the Service for your own internal research and decision-making. You may not, except with our prior written consent:

• reproduce, redistribute, sell or otherwise commercially exploit any part of the Service or its content;
• use the Service to provide a competing product, or to derive a data feed or third-party report;
• scrape, crawl or extract data from the Service by automated means;
• reverse engineer, decompile or attempt to derive source code from any part of the Service;
• misrepresent the source of any output of the Service when sharing it;
• use the Service in a way that breaches applicable law, infringes intellectual-property rights or interferes with other users.

The Service, including the Fusion Score methodology, scores, signals, charts, software, design, text, graphics and trademarks, is owned by Barrakuda Quant or its licensors and is protected by copyright, trademark and other applicable laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

6. No investment advice

The Service is provided for research and informational purposes only and does not constitute investment advice, a recommendation, an offer or a solicitation to buy, sell, hold or otherwise transact in any security or financial instrument. The Service may include or link to information provided by third parties or to third-party websites. We do not endorse or guarantee that information and we are not responsible for its accuracy, completeness or availability.

8. Disclaimer of warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement or uninterrupted availability. We do not warrant that any score, signal, model output or strategy will result in profit or avoid loss.

9. Limitation of liability

To the maximum extent permitted by applicable law, neither Barrakuda Quant nor its directors, officers, employees, agents or licensors will be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, business, goodwill or investment opportunity, arising out of or relating to your use of, or inability to use, the Service. Our aggregate liability for any claims arising out of or relating to the Service will not exceed the fees you have paid to us, if any, in the twelve months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold Barrakuda Quant harmless from and against any claim, loss, liability, cost or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for breach of these Terms. Sections that by their nature should survive termination will survive (including intellectual property, disclaimers, limitation of liability, indemnification and governing law).

12. Governing law and disputes

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict-of-laws principles. The courts of Hong Kong S.A.R. shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer-protection rule that may apply in your jurisdiction.

13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of the page reflects the latest revision. Where changes are material, we will take reasonable steps to notify users of the platform. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
